SERVICES SUPPLY CONTRACT |

Pangea belonging to Andrea Basoccu, with its registered office in Cinisello
Balsamo (Mi), via Palermo 1, and Vat Code 02929290969
(hereafter called the Supplier)
and
__________________, with its registered office _____________ in
_________________, Vat Code ___________
(hereafter called the Customer)
agree and stipulate as follows:
1. Purpose, supplementary parts and
remuneration
The Supplier undertakes to render services indicated in Attachment 1, at the
frequency indicated therein, with ___ hours per week, which shall be quoted at a
value of Euro __________ per hour. The “C.V.F.O.I.” Istat Index as at 1st
January every year shall be applied to the quotation. For extra hours requested
by the Customer at least 48 hours in advance, a different quotation shall be
agreed on.
For all legal intents and purposes, the document called Attachment 1 is
considered a supplementary attachment forming an integral part of this contract:
List of basic services. Services contained in the document called ‘services
index’ shall be described, inclusive of applicable financial quotations, in a
possible Attachment 2, which in the event of compilation shall be considered an
integral part of this contract.
2. Acceptance
The Customer accepts, through Mr. _____________________________________, as
____________________________ with his signature on this contract, services
rendered to attachments as per point 1, according to procedures and quotations
indicated therein. The signatory of this contract declares, under his full
responsibility, to be in possession of suitable proxy/ power of attorney.
Attachments shall be returned signed on each sheet like this
contract as explicit acceptance, as originals or by fax. The Supplier is
entitled to request, and in that case the Customer will accept to make, down
payments on services rendered, at the beginning of the supply relationship or on
the occasion of personalized assistance projects.

Acceptance of this offer shall imply inclusion in the Supplier’s insurance
coverage of risks originating for civil liability.
3. Confidentiality
The Supplier undertakes not to divulge in any way any information acquired
through the supply of services in matter, keeping any information dealt with
high confidentiality.
4. Interests conflicts
The Supplier declares and guarantees that it is not subject to obligations and
restrictions and that it shall not undertake obligations or accept restrictions
that could interfere, be incompatible with or give rise to conflict of interest
in relations to the services in this contract, except for those laid down by the
law.
5. Expendable equipment and materials
Normally the Supplier uses detergents at its own expense and its own equipment
for cleaning, unless the Customer makes an explicit request. All expendable
materials other than detergents shall be paid for by the Customer and can be
replaced by the Supplier. The Customer shall pay for washing curtaining.
6. Supervisory staff
The Supplier undertakes to
dedicate a suitable number of fit staff to render the services in this contract.
The staff itself shall be regularly hired in the case of routine cleaning
services and the Supplier shall undertake to send to the Customer at his request
a copy of documents scheduled by applicable laws confirming the existance of an
employment relationship and payment regularity for compulsory work accidents
national contributions. In the event of repairs, the Supplier is authorised to
use the services of self-employed workers if needed, in compliance with
applicable laws, prior to the Customer cost and presence approval.
The Customer undertakes to guarantee that the Supplier can consult on its
premises the Risk Evaluation Document, with all technical attachments required
by the Law 626/94 and subsequent amendments in order to place every operator
concerned, in a position to know possible environmental working risks and
prevention and safety measures. The Supplier undertakes to duty to inform the
self-employed staff and employees.
7. Expiration and withdrawal
This contract is an open-end
contract. Both Parties can withdraw at any time giving notice of ___ months/days,
which have to be notified by the withdrawing Part to the Other through a
registered letter.
8. Single agreement
This agreement cancels and
replaces any previous agreement and forms an integral part of the Parties’ will
concerning the purpose of the personal agreement. Every amendment to this
agreement must be requested and approved in writing.
9. Competent law court
The Milan Law Court is
exclusively competent for any dispute.
The Customer declares that it has read and accepted this contract in all its
parts, pursuant to and for all legal intents and purposes of Articles from 1321
to 1469 of the Italian Civil Code.

Attachment 1: BASIC SERVICES
DAILY SERVICES
- Emptying of wastepaper baskets and replacement of bags,
- Emptying and cleaning of ashtrays,
- Washing of shelves and empty writing desks,
- Disinfection of telephones,
- (Rotational) cleaning of computers,
- Antistatic sweeping of floors,
- Hoovering and beating of carpets,
Washing, disinfection and perfuming of systems and system linings and floors,
- Differentiated waste collection,
- Refuse removal.
WEEKLY SERVICES
- Removal of spiderwebs,
- Washing of all floors.
MONTHLY SERVICES
- Washing of all inside and outside glass.
QUARTERLY SERVICES
- Washing of all services.
